These Terms of Service ("TOS") set forth the legally binding terms for your use of egirls.ai and any related services, platforms, products, or content ("Services").

The Services are owned and operated by Willow Global LLC, registered in Wyoming, United States of America, located at 1309 COFFEEN AVENUE, STE 1200, SHERIDAN, WY 82801.

By accessing and/or using the Services, you agree to be bound by these TOS. If you do not agree with these TOS, please do not use our Services.

Our Services are intended for personal, non-commercial use only. You agree not to use the Services for any commercial, illegal, or unauthorized purpose.

Important points to understand:

•The Services are for entertainment purposes only. They are not intended as emotional support, therapy, or professional advice. If you are experiencing mental health issues, please seek help from a qualified professional.
•The Services contain adult content intended for mature audiences only. By using the Services, you confirm that you are at least 18 years of age and that viewing adult content is legal in your jurisdiction.
•All interactions with AI characters on the Services are entirely fictional. AI characters are artificial intelligence designed to simulate conversation - they do not possess genuine emotions, intentions, or the ability to fulfill real-world promises. Any resemblance to reality within conversations is fictional and should not be taken seriously.
•AI technology is imperfect. Generated content may sometimes be inaccurate, incomplete, or unexpected. You are responsible for evaluating the appropriateness of any content.

1. Eligibility and Age Requirement

You must be at least 18 years old to use the Services.

By using the Services, you represent and warrant that:

a)You are at least 18 years of age;
b)You have the legal capacity to enter into a binding agreement;
c)You are not prohibited by law from using the Services or viewing adult content in your jurisdiction;
d)You will not allow any person under the age of 18 to access your account or use the Services.

1.1 Age Verification

We implement age verification measures to ensure compliance with age requirements. These measures may include:

a)Self-certification during account registration;
b)Third-party age verification services;
c)Identity document verification;
d)Any other verification method we deem appropriate.

We reserve the right to request additional age verification at any time. If we determine or reasonably suspect that you are under 18, we will immediately terminate your account and delete associated data.

We have a zero-tolerance policy for minors accessing our Services.

2. Account Registration

2.1 Creating an Account

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

b)Suspected fraudulent, abusive, or illegal activity;
c)Failure to pay applicable fees;
d)Filing a chargeback or payment dispute;
e)At our sole discretion.

You may terminate your account at any time by contacting us at business@egirls.ai or through account settings.

Upon termination, you lose access to all account data, characters, and content. We are not obligated to retain or provide copies of your data after termination.

3. Services Description

3.1 What We Offer

egirls.ai is an online platform that uses artificial intelligence to enable users to:

Chat with AI-powered characters;
Create their own AI characters;
Interact with characters created by other users.

The Services include text-based chat and character creation tools. Features may be added, modified, or removed at our sole discretion.

3.2 User-Created Characters

You may create AI characters using our platform tools. By default, characters you create are public and can be interacted with by other users. You may change your character's visibility to private in your settings.

We reserve the right to remove, modify, or restrict any user-created character at any time for any reason, including but not limited to violation of these TOS or our Community Guidelines.

3.3 AI Limitations

You acknowledge and understand that:

a)AI characters are not real people and cannot form genuine relationships;
b)AI responses are generated by algorithms and may be unpredictable, inaccurate, or inappropriate;
c)We do not control or endorse the specific outputs generated by AI characters;
d)You should not rely on AI characters for advice, decisions, or emotional support.

4. Subscriptions and Payments

4.1 Free and Paid Tiers

The Services offer both free and paid subscription options. Free users are subject to usage limits. Paid subscriptions unlock additional features and increased limits.

Usage limits are subject to change at any time, including based on system demand and peak usage hours.

4.2 Subscription Terms

Paid subscriptions are available on a monthly or yearly basis. By subscribing, you agree to pay all applicable fees. Payment will be charged at the beginning of each billing period.

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

4.3 Billing Information

a)Billing Descriptor: Charges will appear on your payment statement as "EGIRLS.AI" or "WILLOW GLOBAL" or a similar discrete descriptor;
b)Payment Confirmation: You will receive an email confirmation for each successful payment;
c)Failed Payments: If a payment fails, we may attempt to process the payment again. If payment cannot be collected, your subscription may be suspended or downgraded to a free account.

4.4 Access Upon Cancellation

Upon the cancellation of your subscription, you will retain access to your account and all associated features until the end of the current billing period. At the conclusion of this billing period:

a)Platform Access: Your access will be restricted to the free version of the platform. You will no longer have access to premium features and content that are exclusive to paid subscriptions.
b)Token Usage: Any remaining coins in your account will expire and become unusable. Please make sure to use your coins before the end of the current billing period, as they will not carry over or be refunded after your subscription ends.
c)Cancellation Confirmation: You will receive an email confirming your cancellation and the date your premium access will end.

You may resubscribe to our platform at any time to regain access to premium features and content. However, any coins from previously cancelled subscriptions that were not used within the relevant billing period cannot be carried over to a new subscription. Each subscription period is treated independently, and coins must be used within their respective billing periods.

If a subscription or token purchase is refunded, the subscription is deemed immediately cancelled. All access to premium features and remaining coins will be revoked at the time of refund processing.

4.5 Price Changes

We reserve the right to change subscription prices at any time. Price changes will take effect at the start of your next billing period. We will provide reasonable notice of price changes.

4.6 Refund Policy

Fees are non-refundable once your login credentials have been used to access the Services. Non-use of a subscription or inability to access the Services through no fault of egirls.ai shall not be grounds for a refund. We do not provide refunds or credits for partial subscription periods.

Before requesting a refund, please contact our Customer Support at business@egirls.ai. We are committed to resolving billing concerns and disputes directly whenever possible.

In the event a refund is issued:

a)All refunds will be credited to the original payment method used for the purchase;
b)No refunds will be made by cash or check;
c)Refunds will be issued within ten (10) business days of approval.

In the event a product or service is listed at an incorrect price due to error, we reserve the right to refuse or cancel any orders placed at the incorrect price, whether or not the order has been confirmed or charged. If your payment method has been charged and the order is canceled, we will issue a credit to your account.

Refund Limitations:

This refund policy does not apply when the payment method used does not support refunds. This includes, but is not limited to, cryptocurrency payments.

Refunds processed through third-party payment providers (including but not limited to Apple, Google) are handled by those providers. We do not have complete control over the refund process and cannot guarantee how or when such refunds will be issued.

4.7 Chargebacks

In the effort to uphold the integrity of transactions, our payment processing team commits to thoroughly investigating any disputed charges.

If a chargeback request is filed:

a)The subscription is immediately cancelled;
b)All access to premium features and remaining coins will be revoked at the time the chargeback request is filed;
c)Your account may be suspended or terminated;
d)You may be prohibited from creating new accounts or using the Services in the future.

Customers found to be engaging in wrongful chargeback practices, including but not limited to "friendly fraud," risk being placed on a blacklist, which may impact their ability to participate in future services.

We strongly encourage you to contact our Customer Support at business@egirls.ai for any uncertainties or concerns over charges before filing a dispute with your payment provider. We respond to all billing inquiries within 48 hours and are committed to resolving issues directly.

4.8 Payment Processing

Payments are processed by third-party payment providers. We do not store your full payment information. Your use of payment services is subject to the payment provider's terms and conditions.

5. User Content and Intellectual Property

5.1 Your Content

"User Content" includes any characters you create, chat inputs, prompts, and other content you submit to the Services.

You retain ownership of the original creative elements of your User Content. However, by submitting User Content, you grant egirls.ai a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, distribute, display, and create derivative works from your User Content for the purposes of:

a)Operating and providing the Services;
b)Improving and developing our AI technology and Services;
c)Training our AI models;
d)Ensuring compliance with our policies;
e)Marketing and promotional purposes.

This license continues even if you stop using the Services or delete your account.

5.2 Public Characters

Characters you make public may be interacted with, viewed, and enjoyed by other users. You grant other users a limited right to interact with your public characters through the Services.

You may not monetize characters you create on egirls.ai outside of the platform.

5.3 Our Intellectual Property

The Services, including all software, design, logos, trademarks, and proprietary technology, are owned by Willow Global LLC or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for personal use only.

You may not:

a)Copy, modify, or distribute our software or content;
b)Reverse engineer, decompile, or disassemble any part of the Services;
c)Use our trademarks or branding without permission;
d)Remove any copyright or proprietary notices.

6. Community Guidelines

6.1 Overview

Our Community Guidelines are designed to ensure egirls.ai remains a safe and enjoyable platform for all users. By using the Services, you agree to abide by these guidelines. Violations may result in content removal, account suspension, or permanent termination.

6.2 Respect and Safety

a)Respect Others: Treat other users with respect. Harassment, bullying, hate speech, and discrimination based on race, ethnicity, gender, sexual orientation, religion, disability, or any other characteristic are strictly prohibited.
b)No Real People: Do not create characters based on real individuals without their explicit consent. This includes celebrities, public figures, and private individuals.
c)No Impersonation: Do not impersonate other users, egirls.ai staff, or any other individuals or entities.
d)Privacy: Do not share personal information about yourself or others, including addresses, phone numbers, financial information, or other identifying details.

6.3 Content Standards

a)Legal Content Only: All content must comply with applicable laws. Do not create or share content that is illegal in your jurisdiction.
b)No Minors: Any depiction of minors in sexual or romantic contexts is strictly prohibited, including fictional or AI-generated content. This is a zero-tolerance policy.

6.4 Platform Integrity

a)No Spam: Do not spam, flood, or otherwise disrupt the Services.
b)No Exploitation: Do not attempt to exploit bugs, vulnerabilities, or loopholes in the Services.
c)No Commercial Use: Do not use the Services for unauthorized commercial purposes, including advertising or solicitation.
d)No Malicious Activity: Do not use the Services to distribute malware, phishing attempts, or engage in fraudulent activities.

6.5 Reporting Violations

If you encounter content or behavior that violates these Community Guidelines, please report it to business@egirls.ai. We review all reports and take appropriate action.

6.6 Enforcement

We reserve the right to enforce these Community Guidelines at our sole discretion. Enforcement actions may include:

a)Warning the user;
b)Removing or modifying content;
c)Temporarily suspending account access;
d)Permanently terminating the account;
e)Reporting illegal activity to law enforcement.

7. Prohibited Conduct and Content

7.1 Prohibited Content

You agree NOT to create, upload, share, or attempt to generate the following content:

a)Child Sexual Abuse Material (CSAM): We have a zero-tolerance policy. Any attempt to create, share, or solicit CSAM will result in immediate account termination and reporting to law enforcement authorities including the National Center for Missing and Exploited Children (NCMEC).
b)Depictions of minors in sexual situations: Even fictional content depicting minors in sexual contexts is strictly prohibited.
c)Real people without consent: Characters based on real individuals (celebrities, public figures, private persons) are not permitted without explicit consent.
d)Harassment or doxxing: Content targeting real individuals with harassment, threats, or exposure of private information.
e)Malware or phishing: Using the Services to distribute malware, conduct phishing, or engage in any fraudulent schemes.
f)Illegal content: Any content illegal in your jurisdiction or in the United States.
g)Bestiality/Zoophilia: Sexual content involving animals.
h)Incest: Sexual content involving family members.
i)Non-consensual content: Realistic depictions of rape, sexual assault, or non-consensual scenarios.
j)Extreme violence/Gore: Gratuitous depictions of mutilation, dismemberment, or torture.
k)Scat/Bodily fluids: Sexual content involving defecation, vomiting, or menstruation.
l)Necrophilia: Sexual content involving deceased individuals.
m)Snuff: Content depicting killing or murder in sexual contexts.
n)Drug content: Content promoting or depicting drug use, dealing, or manufacturing.
o)Self-harm/Suicide: Content promoting, encouraging, or providing instructions for self-harm or suicide.
p)Human trafficking: Content depicting or promoting exploitation or slavery.
q)Nudist/Voyeur content: Non-consensual voyeuristic scenarios or public exposure content.

7.2 Prohibited Conduct

You agree NOT to:

a)Use the Services if you are under 18 years old;
b)Share your account or allow others to use it;
c)Circumvent any access restrictions or security measures;
d)Interfere with or disrupt the Services or servers;
e)Use automated tools, bots, or scrapers to access the Services;
f)Attempt to gain unauthorized access to our systems or other users' accounts;
g)Use the Services for any commercial purpose without authorization;
h)Engage in chargebacks or fraudulent payment disputes;
i)Violate any applicable laws or regulations.

7.3 Enforcement

We reserve the right to:

a)Monitor content for policy violations;
b)Remove or modify content that violates these TOS;
c)Suspend or terminate accounts that violate these TOS;
d)Report illegal activity to law enforcement;
e)Take any action we deem necessary to protect our Services and users.

Violations may result in immediate termination without refund.

8. Blocked Content Policy

8.1 Content Filtering

We implement automated content filtering systems to prevent the creation and distribution of prohibited content. These systems are designed to:

a)Block attempts to generate content involving minors;
b)Prevent the creation of content depicting real individuals without consent;
c)Filter extreme or illegal content;
d)Enforce our Community Guidelines and Terms of Service.

8.2 Circumvention Prohibited

Any attempt to circumvent, bypass, or manipulate our content filtering systems is strictly prohibited and may result in immediate account termination.

8.3 False Positives

We acknowledge that automated systems may occasionally block legitimate content. If you believe your content was blocked in error, please contact us at business@egirls.ai for review.

9. Content Removal Policy

9.1 Grounds for Removal

We may remove content from the Services at any time for any reason, including but not limited to:

a)Violation of these Terms of Service;
b)Violation of our Community Guidelines;
c)Reports from other users;
d)Legal requirements or requests from law enforcement;
e)Protection of the safety and integrity of the platform;
f)Our sole discretion.

9.2 Notice of Removal

Where practicable, we will notify you if your content is removed and provide a general reason for the removal. However, we are not obligated to provide notice in all circumstances, particularly where:

a)Doing so would compromise an investigation;
b)The content involves illegal activity;
c)Notice is prohibited by law.

9.3 Appeals

If you believe your content was removed in error, you may submit an appeal to business@egirls.ai within 30 days of removal. Appeals will be reviewed and you will be notified of the outcome. Our decision on appeals is final.

9.4 Repeat Violations

Users who repeatedly violate our content policies may have their accounts suspended or permanently terminated.

10. DMCA Policy

10.1 Respect for Intellectual Property

Willow Global LLC respects the intellectual property rights of others and expects users of the Services to do the same. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws.

10.2 Filing a DMCA Notice

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement on the Services, please provide our designated Copyright Agent with the following information:

a)A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright interest;
b)A description of the copyrighted work that you claim has been infringed;
c)A description of where the material that you claim is infringing is located on the Services, with enough detail that we can find it;
d)Your address, telephone number, and email address;
e)A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
f)A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

10.4 Counter-Notification

If you believe that your content was removed or disabled by mistake or misidentification, you may submit a counter-notification to our Copyright Agent containing:

a)Your physical or electronic signature;
b)Identification of the material that has been removed or disabled and the location where it appeared before removal;
c)A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification;
d)Your name, address, and telephone number;
e)A statement that you consent to the jurisdiction of the federal district court in Wyoming and that you will accept service of process from the person who provided the original DMCA notification or an agent of such person.

10.5 Repeat Infringers

We will terminate the accounts of users who are determined to be repeat infringers in appropriate circumstances.

11. Content Moderation

11.1 How We Moderate

We use a combination of automated systems and human review to detect policy violations. While we strive to maintain a safe environment, we cannot guarantee that all prohibited content will be detected or removed.

11.2 Reporting Violations

If you encounter content that violates these TOS, please report it to business@egirls.ai. We will review reports and take appropriate action.

11.3 Your Responsibility

You are solely responsible for your interactions with AI characters and the content you create. We do not pre-screen all content and are not liable for User Content or AI-generated outputs.

12. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

13. Disclaimers

13.1 "As Is" Service

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

a)MERCHANTABILITY;
b)FITNESS FOR A PARTICULAR PURPOSE;
c)NON-INFRINGEMENT;
d)ACCURACY OR RELIABILITY OF CONTENT;
e)UNINTERRUPTED OR ERROR-FREE SERVICE.

13.2 AI-Generated Content

We do not guarantee the accuracy, appropriateness, or safety of AI-generated content. AI outputs may be unpredictable, offensive, or incorrect. You use AI-generated content at your own risk.

13.3 No Professional Advice

The Services do not provide medical, legal, financial, or professional advice. Do not rely on AI characters for important decisions.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

a)WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
b)WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL;
c)OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM;
d)WE ARE NOT LIABLE FOR ANY ACTIONS, DECISIONS, OR CONSEQUENCES ARISING FROM YOUR USE OF THE SERVICES OR INTERACTIONS WITH AI CHARACTERS.

Some jurisdictions do not allow limitation of liability, so some of these limitations may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Willow Global LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

a)Your use of the Services;
b)Your violation of these TOS;
c)Your violation of any third-party rights;
d)Your User Content.

16. Third-Party Links and Services

The Services may contain links to third-party websites or services. We are not responsible for third-party content, privacy practices, or terms. Access third-party services at your own risk.

17. Governing Law and Disputes

These TOS shall be governed by the laws of Wyoming, United States of America, without regard to conflict of law principles.

17.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at business@egirls.ai to attempt to resolve the dispute informally. We will attempt to resolve the dispute within sixty (60) days of receiving your notice.

17.2 Agreement to Arbitrate

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and egirls.ai agree that any dispute, claim, or controversy arising out of or relating to these TOS or the Services (collectively, "Disputes") will be resolved exclusively through binding individual arbitration, rather than in court, except that:

a)You may assert claims in small claims court if your claims qualify;
b)Either party may seek injunctive or equitable relief in court for intellectual property infringement or unauthorized use of the Services.

By agreeing to these TOS, you waive your right to a jury trial and to participate in a class action.

17.3 Class Action Waiver

YOU AND EGIRLS.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Unless both you and egirls.ai agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

17.4 Arbitration Rules and Procedure

Arbitration shall be administered by a recognized arbitration provider under its then-current rules, or as otherwise mutually agreed. The arbitration will be conducted in the English language in Wyoming, United States of America or at another mutually agreed location.

The arbitrator's decision will be final and binding, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

17.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to business@egirls.ai within thirty (30) days of first accepting these TOS. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement.

17.6 Exceptions

This arbitration agreement does not preclude either party from seeking provisional remedies in court, including injunctions to prevent irreparable harm.

17.7 Survival

This arbitration agreement survives termination of your account and these TOS.

18. Changes to Terms

We may modify these TOS at any time. Changes will be posted on the Services with an updated revision date. Your continued use of the Services after changes are posted constitutes acceptance of the revised TOS.

For material changes, we will make reasonable efforts to notify you via email or through the Services.

19. Miscellaneous

19.1 Entire Agreement

These TOS, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Willow Global LLC regarding the Services.

19.2 Severability

If any provision of these TOS is found unenforceable, the remaining provisions will continue in effect.

19.3 No Waiver

Our failure to enforce any provision of these TOS does not waive our right to enforce it later.

19.4 Assignment

We may assign our rights and obligations under these TOS. You may not assign yours without our consent.

Willow Global LLC operates egirls.ai as a purely AI-generated content platform where no real individuals are portrayed or engaged in any content creation.

Every piece of content accessible on egirls.ai and/or any of our online channels, affiliated websites to which users may be redirected from egirls.ai platforms, products, or services, including all content contained therein ("Services") is exclusively generated through artificial intelligence (AI) technology.

Any visual depictions that may be sexual in nature are not performed by real human beings, but are rather created via and are a product of AI technology. This method eliminates the participation of real human beings in the creation of images, videos, or any other material available on our Services.

The Federal Labeling and Record-Keeping Law (18 U.S.C. § 2257) is therefore not applicable to the content on our Services.

All AI-generated content on the platform depicts entirely fictional characters. No actual persons were used or depicted in the creation of any content on this platform.
